International law firm Herbert Smith Freehills (HSF) has advised IHS Holding Limited (IHS) in relation to its recently completed acquisition of over 1,200 telecommunications tower sites in Nigeria from HTN Towers plc.

The transaction was effected by IHS acquiring the entire issued share capital of Helios Towers Nigeria Limited (HTN) and also involved a successful bond consent solicitation process. IHS has taken over full operational control of the underlying business which provides independent infrastructure sharing services to mobile network operators and internet service providers in Nigeria.

London Corporate M&A partner Gavin Davies led the HSF team and was supported by senior associate Chris Gill and associate Sid Shukla. The HSF team has previously advised IHS on the acquisition of Airtel's tower portfolios in Zambia and Rwanda (in each case with TMT senior associate Hayley Brady advising on TMT specific aspects).

Gavin Davies said: "It's always a pleasure working with IHS. They have built an impressive portfolio of tower assets across Africa and we are proud to have been involved in the rapid growth of the business over the last couple of years."

IHS is the largest telecommunications infrastructure provider in Africa, Europe and the Middle East with over 23,300 towers in Nigeria, Cameroon, Côte d’Ivoire, Zambia and Rwanda.
